Terms of Service for Studio Box Web Design

1. Service Agreement

Studio Box Web Design ("Service," "I," "me") offers AI-assisted creation of custom, simple HTML, CSS, and JavaScript websites ("Site") for small businesses ("Client," "you"). The scope of work for your Site will be based on the information you provide in the Initial Questionnaire and our subsequent email communications. This service operates on a fixed £249 pricing model with no upfront payment required as detailed herein.

2. AI Usage Disclosure

The Service utilises Artificial Intelligence (AI) tools to assist in the development of the foundational code and design elements of your Site. Human expertise is then applied for refinement, customisation, quality assurance, and to ensure the final product meets your requirements as outlined in the Initial Questionnaire.

3. Payment Terms

  • Complete Package - Work-First, Pay-After Model: The Service will commence work on your Site immediately upon acceptance of your project, with no upfront payment required. Upon completion of your Site, the total price for the complete package (website design, development, 1 year hosting, and domain name) is £249. By engaging this service, you commit to making this £249 payment for the completed work.
  • Payment Due Upon Completion: Payment of £249 is due within 14 days of receiving notification that your Site is complete and available for review. This fixed price reflects the value of the professional website design, development, testing, 1 year hosting, and domain name registration services provided.
  • Consequences of Non-Payment: If the £249 payment is not received within 14 days of the Site completion notification, the Service reserves the right to withhold all site files, take the site offline if already deployed, and pursue legal remedies for collection of the £249 fee plus any applicable late fees. The Service retains all rights to the completed work until payment is received.
  • Late Fees: Any payments not made by their due date may incur a late fee of 5% of the £249 outstanding amount per month or part thereof.

4. Hosting Details

  • Included Hosting Package: 12 months of managed hosting with a domain name is included in the £249 package, commencing from the date the Site goes live.
  • Hosting Renewal: Towards the end of the 12-month period, I will contact you to discuss renewal options. These may include:
    • Renewing your managed hosting package for another 12 months at the then-current rate.
    • Assistance with migrating your Site files to another hosting provider of your choice (additional fees may apply).
    • If no arrangement is made, hosting will cease at the end of the 12-month period.
  • Self-Hosting Option: You may choose to host the website yourself or with another provider after completion. In this case, I will provide the necessary files but cannot offer technical support for third-party hosting setups.
  • Service Limitations: While every effort is made to ensure continuous availability, the Service does not guarantee 100% uptime for hosting services. The Service is not liable for any downtime or service interruptions caused by third-party hosting providers, including Krystal, or circumstances beyond reasonable control.
  • Domain Registration: For hosting packages including domain name registration, the domain will be registered in the Service's name with the Client listed as the administrative contact. Upon request and full payment of all outstanding invoices, domain ownership can be transferred to the Client.

5. Intellectual Property

Upon receipt of the £249 payment, you, the Client, will own the intellectual property rights to the final custom HTML, CSS, JavaScript code, and visual design of your Site, subject to any third-party licenses for elements like fonts or stock imagery, and the terms of use of any AI tools employed (which generally permit client ownership of outputs). The Service retains the right to showcase the completed work in its portfolio, including screenshots, descriptions, and links to the live site for promotional and demonstration purposes. The Service also retains all intellectual property rights to any custom code, methods, techniques, or processes created during development until the £249 payment is received.

6. Content Responsibility

You, the Client, are responsible for providing all text, images, and other content for your Site in a timely manner. All content must be your own or you must have the legal right to use it. You warrant and guarantee that all materials provided do not infringe upon any copyright, trademark, or other intellectual property rights. The Service is not responsible for any copyright infringement, legal issues, or damages arising from content you provide. You agree to indemnify and hold harmless the Service from any claims, damages, liabilities, costs, or expenses (including reasonable attorney's fees) arising from content you provide or your breach of these terms. Failure to provide required content within 30 days of request may result in project delays and potentially additional fees.

7. Limitation of Liability

The Service will be provided with reasonable skill and care. However, THE SERVICE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT OR THE SERVICES PROVIDED WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE (£249). IN NO EVENT WILL THE SERVICE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR CONTENT, EVEN IF THE SERVICE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This is a fixed-price service, and while every effort is made to ensure quality, the "simple site" nature and £249 pricing model reflect this. The Service does not warrant that (a) the Service will meet your specific requirements, (b) the Service will be uninterrupted, timely, secure, or error-free, (c) the results of using the Service will be accurate or reliable, or (d) any errors in the Service will be corrected.

8. Communication Policy

All communication regarding your project will be conducted via email to studioboxmail@proton.me to maintain efficiency and a clear record. By agreeing to these terms, you acknowledge that this is the official communication channel, and important notices sent to your provided email address will be considered delivered and received. You are responsible for ensuring your email is functioning properly and that communications from the Service are not filtered as spam.

9. Revision Policy

Up to two rounds of minor revisions (e.g., text tweaks, color adjustments, image swaps) are included in the £249 package after the draft Site is presented. Major structural or design changes requested after the initial AI-assisted build may fall outside the scope of the original £249 agreement and may be subject to additional charges, to be agreed upon before work commences. The Service retains sole discretion in determining whether requested changes constitute minor revisions or major changes. Revision requests must be submitted in writing via email within 14 days of receiving the draft site. After this period or after the two included revision rounds, additional changes will be charged at the Service's then-current hourly rate.

10. Project Timeline and Termination

While the Service will make reasonable efforts to complete your project in a timely manner, no specific timeline is guaranteed due to the nature of the fixed-price model. Either party may terminate this agreement with written notice. If you terminate the agreement after work has commenced but before completion, all payments made to date are non-refundable, and you will not receive any deliverables or partial work products. The Service reserves the right to terminate this agreement at any time for any reason, including but not limited to: client non-communication for 30+ days, abusive behavior, unreasonable demands, or suspicion of illegal/unethical content or purposes. Since no upfront payment is required, there are no refunds necessary if the Service terminates before work completion.

11. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

12. Acceptance of Terms

By submitting the Initial Questionnaire and requesting commencement of work, you signify your acceptance of these Terms of Service and commit to making the £249 payment upon completion. These terms constitute the entire agreement between you and the Service regarding your use of the Service, superseding any prior agreements.
